INTERNET MINIMUM ADVERTISED PRICING (IMAP) POLICY

This policy applies to the Internet Minimum Advertised Price of Dr. Piercing Aftercare.

Dr. Piercing Aftercare suggested retail price: $19.99

Dr. Piercing Aftercare IMAP price: $15.99

Broadway Products LLC (DISTRIBUTOR) has the following Policy applicable to all Dr. Piercing wholesale customers (STOCKIST) effective immediately with respect to the STOCKIST’s advertising and selling of Dr. Piercing Aftercare to the general public retail marketplace (MARKETPLACE) via the Internet.

1. Each Dr. Piercing STOCKIST remains free to establish its own resale prices. However, a STOCKIST may not:

   1. advertise or otherwise promote Dr. Piercing products over the Internet to the MARKETPLACE at a net price (final price paid net of any discounts, coupons, promotions) that is less than the Internet Minimum Advertised Price (IMAP) established by Dr. Piercing, or

   2. sell Dr. Piercing product to any other person who advertises or otherwise promotes Dr. Piercing products over the Internet to the MARKETPLACE at a net price less than the IMAP established by Dr. Piercing.

2. If a STOCKIST violates this IMAP policy, Dr. Piercing will request the STOCKIST to cease advertising and/or promoting products on the Internet in violation of IMAP policy. Failure to comply with our requests will result in the termination of the wholesale AGREEMENT between DISTRIBUTOR and STOCKIST.

3. In executing this policy, DISTRIBUTOR will act at all times unilaterally, and will neither solicit, consider nor agree to any recommendations, request or demand of any other person. All matters of interpretation and application of the terms of this policy and all matters concerning enforcement of this policy shall remain with the sole, unilateral authority of Broadway Products LLC dba Dr. Piercing.
